Paul N. Watter is a
partner of Hill Wallack LLP.
He is partner-in-charge of the
Public Finance Practice Group and is a member
of Business & Commercial Practice Groups.
Mr. Watter represents an

areas of Banking & Secured
Transactions, Securities, Finance and Corporate Law and as Bond Counsel.

In securities matters, he has acted as counsel for the following: TD Bank, N.A., Wachovia, Citigroup Global Markets,
Morgan Stanley, PNC Capital Markets, Ryan, Beck & Co., Goldman Sachs & Co., Inc., Lehman Brothers Inc., Bergen Capital,
a division of Scott & Stringfellow, Inc., UBS A.C., Bell Haven Capital Markets, and the New Jersey Casino Reinvestment
Development Authority.
In banking matters he has represented TD Bank, N.A., Sovereign Bank (Santander), Sun National Bank, The Funding Group
of Kingston NJ, LLC, Princeton International Properties, Inc. and the Bank of Oklahoma, N.A.
A graduate of The University of Virginia, where he received a B.S. Degree in Commerce, Mr. Watter earned his law
degree from Rutgers University Law School and is admitted to practice in New Jersey, New York, the U.S.
District Court, District of New Jersey and the U.S. Court of Appeals, Third Circuit.
He is the recipient of the American Jurisprudence Awards in: Contracts; Criminal Law and Procedure and member
of the Rutgers-Camden Law Journal from 1971 - 1972. He was Deputy Attorney General with the State of New Jersey
from 1973 - 1978.
Mr. Watter is active in several professional organizations including the Mercer County Bar Association and New Jersey
State Bar Associations, where he is a member of the Banking Law Section. He has also been appointed to the District
Ethics Committee for Mercer County by the New Jersey Supreme Court.
Mr. Watter is involved in several community organizations. He is currently Vice Chairman of the Regional Business Assistance Corporation, a statewide 504 lender, and has served as President of the United Cerebral Palsy of New Jersey and Pace Charter School.
